Terms of Service
The short version. This summary helps you read the terms; it doesn't replace them.
- Founding members join by invitation. It's free until the date in your invitation, with no card and no charge.
- Your content is yours. We don't sell it, and we don't use it to train AI models.
- Paid plans renew automatically until you cancel. You can cancel online at any time.
- If you cancel within 14 days of your first payment, we refund it in full.
- AI can be wrong. It isn't legal, financial, medical or investment advice. Check it before you act on it.
- News articles belong to their publishers. We summarize them, credit them and link to them.
1. About these terms
These Terms of Service (the "Terms") are an agreement between you and Liquid Intelligence Inc. ("Liquid Intelligence", "we", "us"). They govern your use of LightPlane, including our websites, workspace, apps such as News, AI agents and related services (the "Service").
You accept these Terms when you tick the box at sign-up, at checkout, or when we ask you to after a change. We record the version you accepted, when you accepted it, and the IP address it came from. The version is the date at the top of this page.
If you use the Service for an organization, you agree to these Terms for that organization and confirm that you have authority to do so. In that case "you" means the organization. If you have signed a separate written agreement with us, such as an Enterprise order form, that agreement takes precedence where it conflicts with these Terms.
Nothing in these Terms takes away rights you have as a consumer that the law says can't be waived.
2. Founding members and early access
At launch, LightPlane is open by invitation only. If you joined through an invitation, this section applies to you as well as the rest of these Terms.
- Your invitation is personal. It's for the person named in it. You can't transfer, sell or share it, or the account it creates. We may withdraw an invitation that hasn't been accepted.
- Free until the end date. Founding access is free until the end date in your invitation, which is also shown in your account. We don't ask for a card, and we won't charge you anything for this period. There's nothing to cancel.
- This isn't how LightPlane is normally offered. Later customers may be asked for a card at sign-up. That doesn't change your invitation.
- Early access. Founding members use the Service while it is still being built. Features may change, behave unexpectedly, or be withdrawn, sometimes without notice. When we reasonably can, we'll tell you before we remove something you rely on.
- Before the end date we'll email you to ask whether you want to stay, and at what price.
- At the end date you can choose a paid plan at the founding price (section 5). If you don't, your account becomes limited: you can still sign in and choose a plan, but the paid features stop. We keep your data. We won't delete it without emailing you at least 30 days first, and you can ask for a copy at any time (section 7).
- Ending the programme. We may end the founding programme or your founding access early, for example if the Service closes. If we do, we'll give you at least 30 days' notice by email, except where section 16 applies.
- Feedback. We'd like to hear what works and what doesn't. Section 15 explains how we may use what you tell us.
3. Your account
- Who can have one. You must be at least 18 years old and able to form a binding contract.
- One person per account. An account is for one individual. Don't share your sign-in. If others in your organization need access, invite them so they have their own.
- Accurate information. Give us accurate information, including in your profile, and keep it current.
- Security. Keep your password and sign-in methods secure. You're responsible for everything done through your account, including by people you invite and by AI agents acting on your instructions. Tell us promptly at support@lightplane.ai if you think someone else has used it.
- Acting for an organization. When you build a team for a website, you confirm that you are entitled to act for the organization behind it. We may ask for proof, and we may decline or remove a workspace created for an organization by someone who doesn't represent it.
4. Free trials
- Trials without a card. Some trials need no card. When one ends, it simply ends, and we never charge you for it. Before it ends we'll ask you to choose a plan. If you don't, your account is limited as described for founding members in section 2. For teams built on Enterprise-in-a-Box, the workspace is paused instead: you can't use it, but nothing is deleted for 30 days, and choosing a plan in that time restores it.
- Trials with a card. If a trial asks for a card and you add one, the trial turns into the paid plan on the date shown when you sign up, at the price shown, unless you cancel before that date. We'll email you before it converts, with the date and the price. A trial never converts unless you added a card for it.
- One trial each. Only one trial is available per person and per organization.
- Changes. We may change or end trial offers for new customers at any time. That doesn't change a trial you've already started.
5. Plans, billing and automatic renewal
- Plans and prices. Plans, what they include and their prices are shown on the plan page and at checkout before you pay. Prices are in US dollars and exclude taxes. We add sales tax, VAT or similar taxes where the law requires, and checkout shows them.
- Payment. Payments are processed by our payment provider, Stripe. Your card details go to Stripe, not to us. You authorize us to charge your payment method at the start of each billing period.
- Automatic renewal. Paid plans renew automatically until you cancel. A monthly plan renews every month and an annual plan every year. At each renewal we charge the payment method on file the plan's price for the next period, plus any tax. Before you pay, checkout shows the price, how often you'll be charged, the date of the first charge, and that the plan renews until you cancel. After you subscribe, we email you a confirmation with the same details and how to cancel.
- How to cancel. You can cancel online at any time: open Billing in your account and choose Cancel. Billing takes you to Stripe's secure customer portal. You can also write to support@lightplane.ai. Cancelling stops the next renewal. Section 6 explains what happens to the period you've paid for.
- Annual plans. We'll email you before an annual plan renews, with the date and the price.
- Founding prices. If you subscribe at a founding price, you keep that price for as long as your subscription stays continuously active. If you cancel, or your subscription ends because a payment failed, the founding price ends with it, and a later subscription is at the price then current. The founding price is offered once per person. Not every plan has one; Strategy, for example, is not discounted.
- Enterprise-in-a-Box founding offer. If you subscribe to Basic or Pro by December 31, 2026, the price you subscribe at won't increase for 24 months from your first payment while your subscription stays active. This includes guided onboarding with our team at no charge. It doesn't cover taxes, extra seats or AI usage beyond your plan.
- Seats. Organization plans include the number of seats (people with their own sign-in) shown for the plan. Extra seats are charged at the rate shown.
- AI usage. Some plans include a monthly amount of AI work. On Basic, AI features stop at that amount until the next billing period. On Pro, we'll tell you as you approach it, and use beyond it is charged at the published rate only after that notice. Enterprise budgets are set in the order form. Some features also have daily limits, which the feature shows.
- Nonprofits. Registered nonprofit organizations receive 30% off Basic and Pro. We may ask for evidence of status and may end the discount at renewal if the organization no longer qualifies.
- Price changes. We may change prices for future billing periods. We'll give you at least 30 days' notice by email, and a change takes effect at your next renewal after the notice period. If you don't agree, you can cancel before it takes effect. A price change doesn't affect a founding price while you keep it.
- Failed payments. If a payment fails, we'll tell you and retry. If it still hasn't been paid 14 days later, we may limit or pause your account until it is.
6. Cancellation and refunds
When you cancel, your plan continues until the end of the period you've paid for and doesn't renew. If you cancel within 14 days of your first payment for a plan, we'll refund that payment in full. Apart from that, and except where the law requires otherwise, payments are not refundable and we don't give credit for partial periods.
7. Your content
- You own your content. "Your content" means everything you, your people and your agents put into or create in the Service: files, messages, documents, the profile you describe (such as your company, competitors, markets and products), notes and highlights, data, and the websites and knowledge bases built for you.
- What you allow us to do. You give us permission to host, copy, process and display your content only as needed to provide, secure and support the Service for you. That includes sending it to the AI model providers that carry out the work you ask for, and searching public sources for the companies, markets and topics you name (our Privacy Policy explains how).
- No training, no sale. We don't use your content to train AI models, and we don't sell it.
- Your website. When you build a team from a website address, we read the public pages of that site to set up your workspace.
- Privacy. Our Privacy Policy explains how we handle personal information, and our sub-processor list names the providers who process it for us.
- Export. You can ask for a copy of your content at any time by writing to support@lightplane.ai. We'll send it in a common machine-readable format.
- Deletion. You can ask us to close your account and delete your content. After your account closes, we keep your content for 30 days so you can retrieve it, then delete it, except for records we must keep by law and routine backups, which are overwritten on their normal schedule.
8. AI features and their output
LightPlane uses AI to summarize and analyze news, describe what a story may mean for you, assess your competitors and markets, propose strategy moves and predictions, draft text, answer questions and take other actions you ask for.
- AI can be wrong. Output can be inaccurate, incomplete, out of date or biased, even when it sounds confident. Predictions are estimates, not promises.
- It isn't professional advice. Nothing the Service produces is legal, financial, investment, tax, medical or other professional advice. Get advice from a qualified person before acting on anything that needs it.
- News analysis is commentary. Summaries, assessments and strategy reviews are our system's reading of published reports. They aren't statements of fact by us, and they aren't the publisher's words.
- Your decisions are yours. Review output before you rely on it, send it or act on it. You're responsible for the decisions you make with it. Agents propose actions that matter, such as sending mail on your behalf or changing records, for your approval, unless you've set them to act on their own.
- Who owns what. As between you and us, you own your inputs. To the extent the law allows, we assign to you any rights we have in output generated for you. Output may not be protected by copyright, and it may be similar or identical to output given to others. For example, readers who describe the same situation may receive the same analysis of a story.
- No training on your content. We don't use your content, your inputs or your output to train AI models.
- Model providers. To do the work, we send the content needed for each task to AI model providers. They process it under their terms with us, to provide the Service. Our sub-processor list names them.
- Your public concierge. The concierge on a team's public website answers visitors from the knowledge you give it. Keep that knowledge accurate, and don't let it give advice that requires a professional license.
9. News and other third-party content
- Articles belong to their publishers. News stories, headlines and images are the property of the publishers and authors who created them. We don't claim them.
- What we do with them. We find articles on the public web and in publishers' feeds, summarize them, group reports of the same event, credit the publisher, and link to the original. For some sources, a signed-in reader can read the article's text in our reader, with the publisher's name and a link to the original at the top. We don't show the text of paywalled articles.
- Public records. Some facts come from public sources such as Wikidata, SEC EDGAR, the Federal Register, app stores and job boards. We use them under those sources' terms, and we cite them.
- Your use. Third-party content is for your own reading. Don't republish or redistribute it, and respect the publisher's own terms when you follow a link.
- We don't vouch for it. We aren't responsible for what publishers or other third parties say, or for their sites.
- Copyright complaints. If you believe content in the Service infringes your copyright, write to support@lightplane.ai with: your contact details; the work you say is infringed; where it appears in the Service; a statement that you believe in good faith the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We'll respond promptly, and we'll close the accounts of repeat infringers where appropriate. Publishers can also ask us at the same address to stop showing their articles' text.
10. Acceptable use
You won't, and won't let anyone else:
- break the law, or infringe or misappropriate anyone's rights;
- try to get into another person's account, workspace or data, or into parts of the Service you aren't allowed to use;
- scrape, crawl or bulk-download the Service or its content, or access it by automated means other than features we provide for that;
- reverse engineer, decompile or try to extract the source code or models behind the Service, except where the law allows it despite this restriction;
- upload malware, or probe, test, overload or interfere with the Service or its security;
- send spam or unsolicited bulk messages, or use the Service for phishing, fraud or impersonation;
- use the Service to harass anyone, or to create content that is unlawful or defamatory, sexually exploits minors, promotes violence or self-harm, or misleads people about who or what made it;
- use the Service or its output to build a competing product or to train AI models;
- resell or share the Service, or your account, without our written permission;
- get around usage limits, plan restrictions or access controls.
We may remove content, limit features or suspend accounts that break these rules (section 16).
11. Regulated information
Don't put protected health information (as defined by HIPAA), payment card numbers or other specially regulated data into the Service unless we have signed an agreement with you that covers it, such as a Business Associate Agreement. These are available on Enterprise plans.
12. Other services
The Service works with services we don't control, such as sign-in with Google or LinkedIn, and the email, calendar and file accounts you choose to connect. Your use of those services is governed by their own terms. We're not responsible for them, but we'll tell you if a change on their side affects the Service.
13. Availability, support and changes
We work to keep the Service available and secure, and we provide support by email on every plan, with the response times and extras your plan describes. We improve the Service continually. We may add, change or retire features, and we'll give you reasonable notice before removing something you depend on. Enterprise service levels are set in the order form.
14. Confidentiality and security
We treat your content as confidential and protect it with reasonable administrative, technical and physical safeguards. If we learn that your content has been accessed without authorization, we'll tell you promptly and help you respond.
15. Our property and feedback
The Service, including its software, agents, designs and trademarks, belongs to Liquid Intelligence and its licensors. These Terms give you the right to use it while your account is in good standing, and nothing more.
If you send us feedback, ideas or suggestions, you give us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose, without owing you anything. Feedback isn't confidential. We won't quote you or name you publicly without asking you first.
16. Suspension and ending the agreement
You may stop using the Service and cancel at any time. We may suspend or end your access if you seriously or repeatedly break these Terms, if you don't pay, if your use puts the Service or others at risk, or if we must to comply with the law. Where we reasonably can, we'll warn you first and give you a chance to fix the problem. If we end your access for no reason of yours, we'll refund any prepaid amount for the unused period. Sections 7, 8 (who owns what), 9, 15 and 17 to 23 continue after this agreement ends.
17. Disclaimers
Except as expressly stated in these Terms, the Service, including its AI output, early access features and third-party content, is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't promise that the Service or its output will be uninterrupted, error-free, accurate or complete.
18. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if it was told they were possible. Each party's total liability arising out of or relating to these Terms is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim. These limits don't apply to your payment obligations, to either party's indemnity obligations, or to liability that cannot be limited by law.
19. Indemnity
You'll defend and indemnify Liquid Intelligence against third-party claims arising from your content, or from your use of the Service in breach of these Terms or the law. We'll defend and indemnify you against third-party claims that the Service, used as permitted, infringes their intellectual property rights. This doesn't cover AI output or third-party content. The party seeking protection must notify the other promptly and allow it to control the defense.
20. Changes to these terms
We may update these Terms. The version and date at the top show when they last changed. If a change is material, we'll email you at least 30 days before it takes effect, and we'll ask you to accept the new version the next time you sign in. We record that acceptance in the same way as the first. If you don't agree, you can cancel before the change takes effect. Changes the law requires us to make sooner, or that only correct errors, may take effect when we publish them.
21. Governing law and disputes
These Terms are governed by the laws of the United States and of the state in which Liquid Intelligence Inc. is incorporated, without regard to conflict-of-law rules. Before bringing a formal claim, each party agrees to try to resolve the dispute informally for 30 days after written notice.
22. General
These Terms, together with any order form and the policies they refer to, are the whole agreement between us about the Service. If a provision is found unenforceable, the rest remains in effect. If we don't enforce a provision right away, we haven't waived it. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets. Neither party is responsible for delays caused by events beyond its reasonable control.
23. Notices and contact
We send notices to the email address on your account, so keep it current. Send notices to us, and any questions, to support@lightplane.ai.
